If you are not agreed to or cannot understand the terms and conditions, please stop using our services. Your failure to read the terms and conditions will not be an acceptable ground to exclude you from your liabilities arising from the terms and conditions.

1.4 We reserve the right to amend these terms and conditions at any time by giving you notice by posting the amended terms and conditions on our site. - YOUR STATUS
2.1 By subscribing to a Miboodle monthly package through our site, you warrant that you are legally capable of entering into binding contracts and you are at least 18 years old.
- HOW THE CONTRACT BETWEEN YOU AND US IS FORMED
3.1 After subscribing to Miboodle and submitting payment details you will receive an e-mail from us acknowledging that we have received your subscription. The contract will become legally binding once the payment for that subscription has been accepted.
- Cashback Rewards
As an enrolled Miboodle member you may earn ‘cashback’ or a cash reward from a number of Merchants as illustrated on the website through the Ad-Centre. Note that all transactions you make are not with us, but with the individual retailer as detailed within the Ad-Centre campaign specification. We pass on the cashback we earn from merchants and their tracking agencies for your applicable transactions, where the credit can be traced directly to your account by means of an identification tag provided in the reports of the merchants and their tracking agencies, once tracked all money earned through cash-back will be allocated to your miboodle account which is visable within your dashboard area.
We pass on up to 100% of the commission passed to us by the merchants and their tracking agencies once confirmed with either the merchant of tracking agency. Cashback amounts offered to our members may vary from commission received by us based on terms and conditions imposed by individual retailers and their agents, or for any other reason at our discretion. Any added cashback bonus must be £0.01 or more for it to be applied to your transaction. Some low value transactions may not therefore be eligible for a cashback bonus.
From time to time merchants may increase or decrease the commission paid in which case the cashback offer illustrated on our site may be incorrect. We take reasonable care and skill to ensure that the data provided on this site is accurate and up to date. However, we give no warranty of the accuracy of any information on the site and do not accept liability for any errors or omissions, neither do we accept liability for any resulting damage or loss. Further, we take reasonable care and skill to ensure the correct functionality of the website, however we give no warranty of the functionality and do not accept liability for any errors. By default, your applicable transactions will be credited in line with the commission reported to us by the retailer, which may be more or less than the advertised rate. Some retailers pay cashback on the purchase amount inclusive of tax and/or delivery charges and some retailers exclude these values for the purpose of calculating and awarding cashback. Once the sales value & or cash-back is confirmed by the Merchant or tracking agency all appropriate cashback/money earned will be allocated to your account which is visible within your dashboard.
When a transaction is confirmed and agreed by all parties, merchant &/or tracking agency the revenue will show in the appropriate line within your dashboard, once the payment is showing it is a confirmed transaction meaning you are able to be paid out for this transaction once you have reached the payment threshold. Some payment confirmations from merchants and tracking agencies can take 30 days or more from the date of purchase or confirmation of transaction. If the goods are returned or the sale reversed or amended by any means then the cashback payout will not be made.
Applicable transactions for cashback can be defined as transactions that fulfil the following criteria:
(a) Transactions which are tracked directly back to your account by means of an identifying tag, as reported to us by the merchants and/or their tracking agencies or networks. Please note that you must be logged into our site at the time you click through to the merchant in order to have your transaction tracked by means of the identifying tag. We will however, take reasonable measures to warn you if you are clicking through to a merchant whilst not logged into the Miboodle website.
(b) As a member you also must click through to the merchant via the main ‘Continue’ or ‘Action’ buttons on our site within the Ad-Centre section of your settings. If you click through via a sponsored advert on our website, then no commission or cashback will be earned. We will endeavour to make clear which links are advertising links and therefore will not be applicable links for earning cashback. Only cash-back or revenue will be earned whilst you are a member or logged into the miboodle website.
(c) Certain repeat purchases also may not qualify for cashback and you must purchase for genuine reasons. You must complete your transaction after clicking directly through to the merchant from whom you wish to purchase (not via any other third party sites) from the Miboodle website and purchases must then be completed immediately and wholly online. If the merchant decides your transaction wasn’t genuine for any reason, or if the merchant decides that your custom, (whether tracked or not), was deemed to have been provided by another website (such as but not limited to a comparison site or a search engine) then your transaction will not be applicable and no cash-back will be attributed to your account. Only transactions from the miBoodle site that are genuine will receive cash-back.
(d) If your account is terminated or disabled for any other reason, then your cashback will be forfeit and any further transactions which might otherwise become credited to your account will not be deemed to be applicable.
(e) when sharing a marketing campaign from you miBoodle account Ad-Centre with your social networks, transactions which are tracked directly back to your account by means of an identifying tag, as reported to us by the merchants and/or their tracking agencies or networks. A transaction is tracked and confirmed when somebody completes or actions the social message from their social network. Only transactions which are confirmed by the merchants or tracking agencies will be tracked and the cash-back attributed to your miBoodle account. Fraudulent or non-genuine transactions will not confirmed and no cash-back will be attributed to your account. Certain repeat purchases also may not qualify for cashback and you must purchase for genuine reasons.
Please note that you can maximise your chances of earning commission over several purchases if you click through to the merchant site from Miboodle directly before each purchase.
We cannot be held responsible if the merchant fails to report your sale to us. Merchants have their own rules upon which they determine transactions to be genuine, i.e. An attempt to simply earn money by clicking/registering with no intention to continue to use/buy from their website could be deemed as non-genuine. These rules may or may not be advertised by ourselves or the merchant and may be discretionary.
If you are associated with more than one Miboodle account (i.e husband and wife) then allowed transaction recurrences may be determined across these multiple accounts as part of fraudulent usage prevention. However, if we identify multiple accounts from one member who are conducting fraudulent activity to increase revenues/cash-back generated the miBoodle Ad-Centre we reserve the right to close all accounts without paying out revenues generated to such members.
Whilst we will endeavour to recover non-payouts from the retailer, the decision of ourselves, the retailer or retailer’s tracking agent is final. Whilst we will try and recover missing cashback, at any point we reserve the right not to chase missing cashback claims, particularly where no purchase has been made.
Where a cashback enquiry has been successfully paid by a merchant, you may receive a lower amount than expected, this is due to the amounts received by ourselves possibly being lower than the original claim. We do allow you to query this with us. If a merchant still hasn’t paid a manual cashback claim after a period of six months then we reserve the right to close the enquiry claim.
Miboodle reserves the right to reclaim or make balance adjustments accordingly where it has been established that any credit has been applied in error. This will include but is not limited to transactions where the credit is not genuinely due or payout for any credited transaction has not been received from a merchant or its agencies. This can include transactions which are already marked as Payable in your Miboodle account, or for transactions which have already been paid over to you by paypal, if you do not have an account you need to set an account up and provide miboodle with the details in the relevant settings account. Miboodle reserves the right to apply fraudulent prevention measures as it sees fit and to reduce and hold pending payments until all fraudulent activity has been satisfactorily resolved internally.
For referrals to be paid, the referred member must meet certain criteria such as having paid their first months subscription value. Only referrals for genuine signups will be paid, multiple accounts created for use by the same person or any fraudulent signups will result in termination of your account and no payments will be paid out to the referring member.
Where a voucher code (also known as discount code or coupon code or other variations) has been advertised on the Miboodle website, either posted by Miboodle itself or by another member, Miboodle cannot be held responsible for the validity of the voucher code. The benefit implied by the voucher code cannot retrospectively be applied. Further, Miboodle cannot be held responsible for any loss of cashback or loss of any other benefit which might otherwise have been gained had a supplied voucher code not been used.
For the avoidance of doubt and notwithstanding any other provision of this Agreement or the Website, you agree that in all circumstances payout of Cashback is at our sole discretion and further we may refuse to make payout of Cashback to you for any reason including but not limited to non-payout or late payout by the Merchant.
- Revenue from Display Advertising
As a member of miboodle you will have access to build 10 bespoke News websites that enable all members to earn revenue from the display advertising that appear within the site and pages of your site.
RightMatch Media Ltd who own miboodle work closely with media advertising agencies, demand and supply side partners (DSP & SSP) who provide the advertising for advertisers on a Real Time Bidding or programmatic basis where advertisers buy our website display inventory on a CPM basis (cost per thousand).
All revenues generated from display advertising will be updated on a daily basis and will be visible within your dashboard where you can see the revenue generated from the previous day. You will be able to receive the money generated from your display advertising once you have reached the £50.00 threshold which can be a combination of Display & Cashback.
All payments will be made through Paypal and if you don’t have a Paypal account you will need to open a paypal account and update the payment details within your personal miboodle account.
In order to receive the money you have generated from your sites, you must have made a minimum of £100.00 and you must request the money to be paid to you. All payments are made on the 23rd of each month, you must have requested payment 10 days before this date, if you not you will receive the payment the following month.
Miboodle reserves the right to reclaim or make balance adjustments accordingly where it has been established that any credit has been applied in error. Display revenue will be confirmed via the networks, advertising agencies, demand and supply side partners (DSP & SSP) that Right Match Media work with. All revenues are subject to change and miBoodle reserves the right to make adjustments to revenues earned in line with our advertising terms and conditions.
Miboodle reserves the right to remove all display advertising from your membership account and subsequent news sites if we feel or get prior notice that the traffic sources you are using our ‘black-hat’ or under ground sources. MiBoodle operate various traffic authenticity measures to monitor the traffic across all our miBoodle sites, any sources of traffic that are un-warranted or black hat these sites will have their display advertising turned off and all revenues generated will be held until member can demonstrate and show the traffic sources where legitimate.
- SERVICE AND PAYMENTS
4.1 Subject to the Terms and Conditions Miboodle is available to use for an agreed monthly fee. The fee amount dependent on the package chosen at the time of subscribing.
4.2 Miboodle is provided for the following purposes:
4.2.1 To build your own personal daily newspaper utilising content from over 12k+ news organisations over the world
4.2.2 To send content to your social following from your personal newspaper to grow and engage your personal social following
4.3 You acknowledge and represent that you shall not use Our Services with the intentions to infringe the privacy of any person. If you believe that your privacy rights are infringed without your consent and authorization, you should immediate notify us with the proof of such infringement.
4.4 You are responsible to ensure that you are in strict compliance with the Terms and Conditions and the applicable laws of your local jurisdiction.
4.5 You must not use the Miboodle in any way which is inappropriate, illegal, or contrary to the Terms and Conditions, or which amounts to the infringement of the privacy of any person.
4.6 Before using Miboodle you must pay the Subscription Fees for the package you selected.
4.7 We will provide you with all applicable features of Miboodle once the Subscription Fee has been paid; provided that we reserve the right to modify such features at any time at our sole discretion. Applicable features will be dependent on the package selected at the time of subscription.
4.8 You acknowledge that positional accuracy may be affected by several technical factors that are not within our control and that we cannot guarantee to that effect. We own no liability for losses, costs, expense or your efforts caused as a consequence of your reliance upon the report of your mobile position tracked by us.
- USER ACCOUNT AND MEMBERS AREA
5.1 To access Miboodle you must provide us with your registration information and pay the Subscription Fee.
5.2 Your registration information includes your email address & a chosen password. Upon submission of registration information and payment, we will send you an email containing your username and a link to your online account.
5.3 All information relating to you will be handled and stored in accordance with our Privacy Policy. The email address and password is personal to you and you are responsible to maintain the confidentiality of them. You will ensure that your computer or device that you are using to access your account is free from virus and is adequately protected from any malignant components.
5.4 You acknowledge that you are responsible for all activities carried out under your account. You should immediately contact us in case of any breach of confidentiality of your account.
- CANCELLATION & REFUNDS
6.1 You have the right to cancel your subscription and have your initial fee (1st month) refunded if requested within 24 hours. To qualify you must request the refund at the point of cancellation. You cannot request the refund at a later date, beyond this 24 hour period.
6.2 To cancel your membership, you can cancel at any time by email us on [email protected] Once a cancellation request has been made a member of our customer support team will respond within 48 hours to confirm the date the subscription will come to an end. Please note that you will not receive any charges following a cancellation request. However, any charges incurred before the cancellation request was made will only be subject to a refund if they meet the conditions set in clause 6.1
- OUR LIABILITY
7.1 If we fail to comply with these terms and conditions, Our maximum aggregate liability shall not, in any circumstances, be in excess of the Subscription Charges.
7.2 Subject to clause 10.3, we will not be liable for losses that result from our failure to comply with these terms and conditions that fall into the following categories:
7.2.1 loss of income or revenue;
7.2.2 loss of business;
7.2.3 loss of profits; or
7.2.4 loss of anticipated savings.
7.3 Nothing in this agreement excludes or limits our liability for:
7.3.1 death or personal injury caused by our negligence;
7.3.2 fraud or fraudulent misrepresentation;
7.3.4 any other matter for which it would be illegal for us to exclude or attempt to exclude our liability.
7.5 We do not give any warranty for any goods or services accessed through, or displayed on, our site.
- FORCE MAJEUREE
8.1 We shall not be liable for our failure to provide you with all or any features of Our Services if such breach is caused by Natural Force Majeure Event such as, without limitation, an act of God, system downtime, lockouts, accidents, cyber attacks, or any event beyond our reasonable control. If such Force Majeure Event continues for a period longer than fifteen (15) days, you may opt to refund the Subscription Fees and notify us of your decision to that effect.

All payments are made on the 23rd of each month, you must have requested payment 10 days before this date, if you not you will receive the payment the following month.
Miboodle reserves the right to reclaim or make balance adjustments accordingly where it has been established that any credit has been applied in error. Display revenue will be confirmed via the networks, advertising agencies, demand and supply side partners (DSP & SSP) that Right Match Media work with. All revenues are subject to change and miBoodle reserves the right to make adjustments to revenues earned in line with our advertising terms and conditions.
Miboodle reserves the right to remove all display advertising from your membership account and subsequent news sites if we feel or get prior notice that the traffic sources you are using our ‘black-hat’ or under ground sources. MiBoodle operate various traffic authenticity measures to monitor the traffic across all our miBoodle sites, any sources of traffic that are un-warranted or black hat these sites will have their display advertising turned off and all revenues generated will be held until member can demonstrate and show the traffic sources where legitimate.
- SERVICE AND PAYMENTS
4.1 Subject to the Terms and Conditions Miboodle is available to use for an agreed monthly fee. The fee amount dependent on the package chosen at the time of subscribing.
4.2 Miboodle is provided for the following purposes:
4.2.1 To build your own personal daily newspaper utilising content from over 12k+ news organisations over the world
4.2.2 To send content to your social following from your personal newspaper to grow and engage your personal social following
4.3 You acknowledge and represent that you shall not use Our Services with the intentions to infringe the privacy of any person. If you believe that your privacy rights are infringed without your consent and authorization, you should immediate notify us with the proof of such infringement.
4.4 You are responsible to ensure that you are in strict compliance with the Terms and Conditions and the applicable laws of your local jurisdiction.
4.5 You must not use the Miboodle in any way which is inappropriate, illegal, or contrary to the Terms and Conditions, or which amounts to the infringement of the privacy of any person.
4.6 Before using Miboodle you must pay the Subscription Fees for the package you selected.
4.7 We will provide you with all applicable features of Miboodle once the Subscription Fee has been paid; provided that we reserve the right to modify such features at any time at our sole discretion. Applicable features will be dependent on the package selected at the time of subscription.
4.8 You acknowledge that positional accuracy may be affected by several technical factors that are not within our control and that we cannot guarantee to that effect. We own no liability for losses, costs, expense or your efforts caused as a consequence of your reliance upon the report of your mobile position tracked by us.
- USER ACCOUNT AND MEMBERS AREA
5.1 To access Miboodle you must provide us with your registration information and pay the Subscription Fee.
5.2 Your registration information includes your email address & a chosen password. Upon submission of registration information and payment, we will send you an email containing your username and a link to your online account.
5.3 All information relating to you will be handled and stored in accordance with our Privacy Policy. The email address and password is personal to you and you are responsible to maintain the confidentiality of them. You will ensure that your computer or device that you are using to access your account is free from virus and is adequately protected from any malignant components.
5.4 You acknowledge that you are responsible for all activities carried out under your account. You should immediately contact us in case of any breach of confidentiality of your account.
- CANCELLATION & REFUNDS
6.1 You have the right to cancel your subscription and have your initial fee (1st month) refunded if requested within 24 hours. To qualify you must request the refund at the point of cancellation. You cannot request the refund at a later date, beyond this 24 hour period.
6.2 To cancel your membership, you can cancel at any time by email us on [email protected] Once a cancellation request has been made a member of our customer support team will respond within 48 hours to confirm the date the subscription will come to an end. Please note that you will not receive any charges following a cancellation request. However, any charges incurred before the cancellation request was made will only be subject to a refund if they meet the conditions set in clause 6.1

7.1 If we fail to comply with these terms and conditions, Our maximum aggregate liability shall not, in any circumstances, be in excess of the Subscription Charges.

7.2.3 loss of profits; or
7.2.4 loss of anticipated savings.
7.3 Nothing in this agreement excludes or limits our liability for:
7.3.1 death or personal injury caused by our negligence;
7.3.2 fraud or fraudulent misrepresentation;
7.3.4 any other matter for which it would be illegal for us to exclude or attempt to exclude our liability.
7.5 We do not give any warranty for any goods or services accessed through, or displayed on, our site.
- FORCE MAJEUREE
8.1 We shall not be liable for our failure to provide you with all or any features of Our Services if such breach is caused by Natural Force Majeure Event such as, without limitation, an act of God, system downtime, lockouts, accidents, cyber attacks, or any event beyond our reasonable control. If such Force Majeure Event continues for a period longer than fifteen (15) days, you may opt to refund the Subscription Fees and notify us of your decision to that effect.
